Article 1 – Nature of the Service
Huntbidy Technology Company ("Huntbidy" or "the Platform") operates an electronic intermediary marketplace that connects employers with independent recruitment professionals ("Headhunters"). Huntbidy does not act as an employment agency, a staffing firm, or a party to any employment contract formed between the employer and a candidate. The Platform's sole function is to facilitate introductions and manage the commercial relationship between employers and Headhunters. All obligations arising from a confirmed hire are solely between the employer and the relevant Headhunter.
Article 2 – Fee Structure and Payment to Huntbidy
Job postings are provided to the employer at no charge. Prior to publishing a vacancy, the employer shall specify the maximum placement fee as a percentage of the candidate's annual basic salary, within the range of one percent (1%) to thirty percent (30%). Upon confirming a successful hire through the Platform, the employer assumes a binding contractual obligation to pay the full placement fee to Huntbidy Technology Company. Huntbidy collects the placement fee on behalf of the Platform and distributes the headhunter's net share after deducting the applicable platform success fee. The employer's payment obligation is satisfied in full upon successful transfer to Huntbidy's registered bank account. This obligation is unconditional and may not be waived, reduced, or deferred without Huntbidy's prior written consent.
Article 3 – Payment Terms, Probation Period and Huntbidy Disbursement
The placement fee becomes due and payable to Huntbidy ninety (90) calendar days following the employer's formal confirmation of the candidate's successful completion of the probation period via the Platform. The standard probation period is ninety (90) calendar days unless otherwise agreed in writing. The employer must transfer the full placement fee to Huntbidy's registered bank account (IBAN: SA3480000527608016134920, Al Rajhi Bank, Huntbidy for Talent Acquisition) or via the Platform's integrated card payment facility. Upon confirmed receipt, Huntbidy will disburse the headhunter's net payout (gross placement fee less the 30% platform success fee) to the headhunter's registered bank account within thirty (30) calendar days of confirmed receipt from the employer. Huntbidy will actively follow up with the employer in the event of any payment delay to expedite collection and protect the headhunter's entitlement. Huntbidy collects and disburses funds as a platform intermediary. Any delay in the employer's payment to Huntbidy will delay the corresponding disbursement to the headhunter, though Huntbidy undertakes to chase outstanding payments on the headhunter's behalf. The employer shall not make any direct payment to the headhunter for placement fees; all such payments must be made exclusively through Huntbidy.
Article 4 – Limitation of Liability
Huntbidy's liability is strictly limited to providing access to the Platform and its features. The Platform does not independently verify the accuracy of candidate profiles, the professional qualifications of Headhunters, or the suitability of any candidate for a given role. The employer bears full and sole responsibility for all recruitment and hiring decisions, including candidate assessment, due diligence, and compliance with applicable employment and labour regulations. To the fullest extent permitted by applicable law, Huntbidy shall not be liable for any direct, indirect, incidental, or consequential loss arising from the use of the Platform.
Article 5 – Data Protection and Confidentiality
Each party shall collect, store, and process personal data in accordance with applicable data protection laws. The employer consents to the collection and processing of their organisational data strictly for the purpose of operating the Platform and delivering its services. Such data shall not be disclosed to any third party except where required by a competent judicial, regulatory, or governmental authority. Where a job posting is marked as confidential, the employer's company name and identifying details shall not be disclosed to any third party through the Platform.
Article 6 – Governing Law and Dispute Resolution
This Agreement and all matters arising out of or in connection with it shall be exclusively governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia. Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, validity, interpretation, performance, or termination, shall be submitted to the exclusive jurisdiction of the competent courts of the Kingdom of Saudi Arabia. Both parties irrevocably submit to that jurisdiction and waive any objection to venue or inconvenient forum.
